Vendor Terms

These Vendor Terms and Conditions ("Vendor Terms") set forth the terms under which vendors ("you" or "Vendor") may use the WaveChatApp platform to offer services or products. By registering as a vendor and accessing or using the WaveChatApp platform ("Platform"), you agree to comply with and be bound by these Vendor Terms. Please read them carefully. 1. Acceptance of Vendor Terms By registering as a vendor on the Platform, you agree to be bound by these Vendor Terms, our general Terms and Conditions, Privacy Policy, and any other policies or guidelines referenced herein. If you do not agree to these Vendor Terms, please do not use the Platform. 2. Eligibility and Registration Eligibility: To become a vendor on the Platform, you must be legally eligible to enter into a binding contract and have all necessary licenses, permits, and approvals to provide your services or products. Registration: To access the vendor features of the Platform, you must complete the registration process by providing accurate and complete information. You agree to keep your registration information up-to-date. 3. Vendor Responsibilities Compliance: You agree to comply with all applicable laws, regulations, and industry standards when using the Platform and providing your services or products. Quality of Service: You agree to provide services or products in a professional and competent manner and to uphold high standards of quality. Pricing and Payments: You are responsible for setting the prices for your services or products. WaveChatApp will collect payments on your behalf and remit them to you, minus any applicable fees as outlined in these Vendor Terms. 4. Vendor Conduct Prohibited Activities: You agree not to engage in any fraudulent, deceptive, or unethical practices while using the Platform. Prohibited activities include, but are not limited to, providing false information, engaging in price manipulation, and infringing on the intellectual property rights of others. Communication: All communication with customers must be conducted through the Platform. You agree not to solicit customers to transact outside the Platform. 5. Intellectual Property Ownership: All content, trademarks, service marks, and logos on the Platform are owned by or licensed to WaveChatApp. You may not use any of our intellectual property without our prior written consent. Vendor Content: You grant WaveChatApp a non-exclusive, royalty-free, worldwide license to use, reproduce, display, and distribute any content you provide on the Platform for the purpose of promoting your services or products. 6. Termination By WaveChatApp: We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to your violation of these Vendor Terms. By Vendor: You may terminate your vendor account at any time by providing written notice to WaveChatApp. Upon termination, you must immediately cease all use of the Platform. 7. Limitation of Liability To the fullest extent permitted by law, WaveChatApp and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Platform; (ii) unauthorized access to or use of our servers and/or any personal information stored therein; and (iii) any bugs, viruses, trojan horses, or similar that may be transmitted to or through our Platform by any third party. 8. Indemnification You agree to indemnify and hold harmless WaveChatApp, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Platform, your provision of services or products, or your violation of these Vendor Terms. 9. Governing Law These Vendor Terms and any disputes arising out of or related to them will be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law principles. 10. Miscellaneous Entire Agreement: These Vendor Terms, along with any additional terms or policies referenced herein, constitute the entire agreement between you and WaveChatApp regarding your use of the Platform as a vendor. Severability: If any provision of these Vendor Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect. No Waiver: The failure of WaveChatApp to enforce any right or provision of these Vendor Terms shall not constitute a waiver of such right or provision. 11.
